Introduction
This document outlines the standard Terms of Service (ToS) for all commission-based development work undertaken by me, checcerr. These terms are designed to ensure a clear, professional, and mutually respectful working relationship. By commissioning my services, you (the “Client”) agree to be bound by these terms.
1) Scope of Work & Milestones
1.1. Statement of Work: Before any work begins, a detailed “Statement of Work” (SoW) will be agreed upon in writing (e.g., via Discord or Talent Hub). The SoW will outline the specific features, deliverables, and objectives for the project.
1.2. Milestones: For projects of significant size, the SoW will be segmented into sequential “Milestones.” Each Milestone will represent a distinct phase of development with its own set of deliverables.
1.3. Revisions: A reasonable number of minor revisions and bug fixes related to the agreed-upon deliverables are included. Any requests for new features or significant alterations not included in the original SoW will be considered “Scope Creep” and will require a new, separate quote and agreement.
2) Payment & Compensation
2.1. Pricing: All pricing will be agreed upon in writing prior to the start of work.
2.2. Milestone Payment: Payment for each Milestone is due upon its completion and the Client’s approval of the delivered work. Work on subsequent Milestones will not begin until the invoice for the previous Milestone is paid in full.
2.3. Final Payment: For single-task commissions, full payment is due upon delivery of the final product.
2.4. Platform Fees: The quoted price is all-inclusive. If payment is made via a method subject to Roblox’s Marketplace Fee (e.g., a T-shirt), I will handle the associated fee.
2.5. No Partial Rights: Partial payments do not grant any form of license or ownership. A full license is only granted upon completion of the full, agreed-upon payment for a deliverable.
3) Development Environment & Delivery
This section outlines the two possible development workflows, based on the project’s requirements.
3.1. Standard Workflow (Preferred):
- All development will be conducted within my own private Roblox Studio place (the “Staging Ground”).
- The Client will be given access to the Staging Ground game to test and review completed features and Milestones.
- Upon receipt of the full and final payment for the project, all agreed-upon scripts and assets will be securely delivered to the Client.
3.2. Team Create Workflow (Requires Upfront Payment):
- In cases where simultaneous, collaborative development is essential, work can be conducted within the Client’s Team Create environment.
- This workflow requires a non-refundable upfront payment of 30% of the total project cost before I join the Team Create session.
- The remaining 70% is due upon project completion, as per the standard payment terms.
- Activation of Work: For security, critical parts of the code may require final activation by me. This is a standard part of the delivery process and all restrictions are permanently removed upon receipt of final payment.
4) Intellectual Property (IP) & Copyright
4.1. Authorial Ownership: All code, scripts, and original assets (“the Work”) created by me are my exclusive intellectual property, as protected by copyright law and the Roblox Terms of Service. I retain full authorial ownership of the Work.
4.2. Licensing: Upon receipt of full and final payment, the Client is granted a perpetual, non-exclusive license to use the Work within the single, specified Roblox experience agreed upon in the Statement of Work.
4.3. Breach of Terms:
- Failure to provide full payment constitutes a material breach of this agreement. In such an event, the license to use the Work is immediately and permanently revoked.
- Unauthorized use of my intellectual property (i.e., using my code without a valid, paid-for license) is a violation of my copyright.
- I reserve the full right to enforce my copyright. If I discover my Work being used without a valid license, I will not hesitate to file a formal DMCA Takedown Notice with Roblox to have the infringing content removed.
4.4. Retention of Rights: As the author, I retain the right to use the Work for non-commercial, promotional purposes (e.g., in my portfolio) and to reuse generic, non-proprietary code structures and algorithms in future projects.
5) Cancellation, Refunds, and Abandonment
5.1. Cancellation by Client: If the Client chooses to cancel the project, payment is required for all work completed on the current Milestone up to the cancellation date. No license is granted for this final, incomplete work, and it will not be delivered.
5.2. Refunds: Payments made for previously completed and delivered Milestones are non-refundable. The upfront payment for the Team Create workflow (Clause 3.2) is also non-refundable as it secures my time and commitment to the project.
5.3. Abandonment: If the Client becomes unresponsive for a period of fourteen (14) consecutive days during an active Milestone, I reserve the right to consider the project abandoned. In this event, the current working agreement is terminated. Any payments made are non-refundable, and the license for any in-progress or unpaid work is revoked. The license for previously completed and fully paid-for work remains valid.
6) Partnerships & Revenue Share Agreements
This section applies to any proposed collaboration not based on a fixed-fee commission (e.g., “co-ownership,” percentage-based revenue share).
6.1. Separate Agreement Required: Due to the complex and long-term nature of such collaborations, all partnership proposals require a separate, detailed Partnership Agreement to be drafted and agreed upon in writing by all parties before any work begins.
6.2. Minimum Terms: This Partnership Agreement must, at a minimum, clearly define:
- Roles & Responsibilities: A specific list of duties and expectations for each partner.
- Intellectual Property Ownership: A clear definition of who owns the final game, the group, and the individual assets created.
- Revenue Calculation & Distribution: The exact percentage split, a clear definition of “revenue” (e.g., after or before Roblox fees, ad spend), and a fixed payout schedule.
- Decision-Making: A process for how major project decisions are made.
- Dissolution Terms (Exit Clause): A clear plan for what happens if a partner chooses to leave the project, including the division of assets and future revenue.
6.3. Right to Decline: I reserve the right to decline any partnership proposal that does not meet these criteria or does not align with my professional goals.
7) Agreement
By hiring me for a commission, you acknowledge that you have read, understood, and agreed to all the terms and conditions outlined in this document.
