Irl cos — an online legal service designed for Roblox creators

We were just at RDC 2024, where we launched irl cos, an online legal service designed specifically for Roblox creators. Some of you met us there, but we’d like to introduce ourselves here too :slightly_smiling_face:

So what does irl cos do?

We help Roblox creators form LLCs to help protect their intellectual property and assets. First, you’ll set up a Wyoming LLC with an operating agreement designed for Roblox creators. After that, you can use irl cos to hire people with offer letters and consultant agreements that come with confidentiality and IP agreements to help protect your IP. You can also use irl cos to enter into NDAs.

Common Questions

Why would I want to form an LLC?

An LLC can help provide the following benefits:

  • Limited Liability
    • Having a legal entity helps protect your personal assets (e.g. your savings, home, or car)
  • Shared IP Ownership
    • IP created for your business can be owned by your company instead of individuals (this can be important when more than one person is involved in your business)

There are other types of legal entities (for example, corporations) but LLCs are far more common with businesses that are going to be distributing profits to the owners.

Why is it a Wyoming LLC?

Wyoming has some of the lowest filing and annual report fees of any state, and is also one of the most popular states for LLC formation. Fun fact: Wyoming invented the LLC!

Do I have to live in Wyoming or in the U.S.?

Nope to either! You can form a Wyoming LLC from pretty much anywhere, other than some countries that the U.S. has sanctions against.

Can I be anonymous?

Maybe a bit, if you can find someone to help you. The LLC will be created through a document called the Articles of Organization. This document is considered public record and requires the name and address of the “organizer” (you).

Our understanding, after extensive research, is that the address should be the physical address where your business is located. We don’t recommend it if you want to be in full compliance, but many people use a mailing address in lieu of an actual physical address. The registered agent you’d be using for irl cos will allow their address to be put down.

Then there’s your name. The registered agent you’d be using won’t let you use their name instead of yours, because there’s some risk to them associated with that. But if you’re able to find someone else willing to be the organizer, you can avoid having your name there (of course, then their name will be in the public record).

It’s worth noting that federal and state laws make it impossible to be completely anonymous, by design. At a minimum, you’ll be required to file a report with FinCEN, a U.S. government bureau tasked with combating financial crimes. The report will need to contain information about who controls the company. So no matter who the organizer is, your information will need to be disclosed there (though it will not be public record). Under Wyoming law, you’ll also need to disclose the members of your LLC to your registered agent (also not public record).

Yup, Australia is safe! It’s more like North Korea, Russia, etc. that are issues.

This seems like a fantastic idea, but what’s the catch? Besides forming an LLC, would you be taking percentage ownership in the company? Do you have a law firm on standby to help handle legal agreements and to handle copyright disputes?

Wyoming has no state income tax, but if you’re from another state wouldn’t you be subject to other local state taxes? Wyoming has a Compliance fee of around $50 annually, are you a wyoming llc registered agent?

No catch! We’ve designed and built this service, charge a modest fee for using it, and that’s all :slight_smile:

We don’t take any ownership stake in the companies and this is not lead gen for a law firm.

And yes, if your business is subject to taxes in a state, it will still be subject to those taxes even if it is a Wyoming LLC.

We are not a registered agent but we partner with an established Wyoming registered agent that only costs $20 / year.

I’m interested but I already have a LLC, not in wyoming, but I’m interested in things like NDA. Can I still get connected to irl cos or do I need a new LLC?
